These Terms and Conditions ("Terms") govern your use of the IntelliAssist website, application, and services (collectively, the "Services"). By registering for or using our Services, you agree to be bound by these Terms.
1. Our Services
IntelliAssist is an AI-powered ROAS Acceleration Platform designed for e-commerce businesses. We provide a suite of AI agents that optimize the post-click customer journey.
Nature of AI Services: You acknowledge that our Services utilize artificial intelligence and machine learning models. As with any AI, the output generated may occasionally be inaccurate, incomplete, or reflect biases in the underlying data. You are solely responsible for reviewing, editing, and validating all content generated by the Services before use or publication.
2. Eligibility and Account Registration
To use our Services, you must be legally able to enter into binding contracts and be at least 18 years of age. You agree to provide true, accurate, current, and complete information during registration and to keep this information up to date. You are responsible for all activities that occur under your account and for keeping your password secure. You agree to notify us immediately of any suspected unauthorized use of your account or password.
3. Use of Services & Acceptable Use Policy
Our Services are available for your business's internal, commercial use. You are responsible for complying with all applicable local and international laws and regulations. You shall be solely responsible for any content you submit, post, create, and display using the Services. You agree not to:
- Harass, defame, stalk, threaten, or otherwise harm other users or third parties.
- Submit, publish, or share any material that is unlawful, fraudulent, defamatory, obscene, or infringes on any third-party's intellectual property rights.
- Submit materials that falsely express or imply that such materials are sponsored or endorsed by IntelliAssist.
- Transmit viruses, malware, or other malicious code.
- Attempt to gain unauthorized access to the IntelliAssist service, other accounts, computer systems, or networks.
- Alter, modify, or reverse engineer any part of the Service.
- Use automated programs ("bots," "spiders") to access our Services without our express written permission.
- Collect or use data from other users except for the purpose of establishing contact in a reasonable way and in accordance with these Terms.
- Engage in any activity that could damage, disable, overburden, or impair the Services.
- Publish, promote, or share any material for the reason of unsolicited advertising, junk mail, pyramid schemes, or chain letters.
4. Content and Intellectual Property
Your Content:
You retain all ownership rights to the data, text, images, and other content you provide to the Services ("Your Content"). By using the Services, you grant IntelliAssist a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and display Your Content solely for the purpose of providing, maintaining, and improving the Services for you.
AI-Generated Content:
The Services may generate new content ("Generated Content"). Subject to your compliance with these Terms, IntelliAssist grants you a worldwide, perpetual, non-exclusive, royalty-free license to use the Generated Content for your business purposes. You are responsible for ensuring the Generated Content is lawful and does not infringe on third-party rights.
Our Intellectual Property:
All materials within our Services, including the underlying software, algorithms, graphics, logos, and trademarks ("Our IP"), are the property of IntelliAssist or its licensors. You may not post, modify, distribute, or reproduce Our IP without our prior written consent.
5. Copyright Infringement Policy
IntelliAssist respects the intellectual property of others. If you believe your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:
- An electronic or physical signature of the person authorized to act on behalf of the copyright owner;
- A description of the copyrighted work that you claim has been infringed;
- A description of where the infringing material is located on the Service (e.g., a URL);
- Your address, telephone number, and email address;
- A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
We reserve the right to remove content alleged to be infringing and to terminate the accounts of repeat infringers.
6. Data Privacy and Use
Our collection and use of personal information is governed by our Privacy Policy. By agreeing to these Terms, you consent to our use, transfer, and storage of the information you provide on our servers for purposes including, but not limited to: sending you service updates and promotional offers, resolving disputes, customizing our services, and complying with legal obligations.
7. Subscriptions, Fees, and Payment
Subscriptions: Our Services are billed on a subscription basis. Your subscription will automatically renew unless you cancel it.
Fees and Taxes: You agree to pay all applicable fees. Fees are non-refundable except as required by law. You are responsible for all applicable taxes, including GST.
Price Changes: We reserve the right to change our fees with at least 30 days' notice.
8. Termination
You may terminate your account at any time by contacting our support team. IntelliAssist may restrict, suspend, or terminate your account at any time, without prior notice, if we believe in our sole discretion that you have breached these Terms. Upon termination, your right to use the Services will cease. Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS-IS", "WITH ALL FAULTS", AND "AS-AVAILABLE". YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, INTELLIASSIST, ITS PARTNERS, OFFICERS, AND EMPLOYEES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, OR LEGALITY OF ANY CONTENT. WE DISCLAIM ANY RESPONSIBILITY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
IN NO EVENT SHALL INTELLIASSIST BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnity
You agree to defend, indemnify, and hold harmless IntelliAssist, its partners, officers, directors, and employees from and against any and all claims, damages, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any copyright or privacy right; or (d) any claim that Your Content caused damage to a third party. This indemnification obligation will survive these Terms and your use of the Services.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes or claims arising hereunder shall be referred to arbitration under the Arbitration & Conciliation Act, 1996. The arbitral tribunal shall consist of a sole arbitrator appointed by IntelliAssist. The venue of arbitration shall be New Delhi, and the language of the proceedings shall be English. Subject to the arbitration clause, the courts of New Delhi, India shall have exclusive jurisdiction.
13. Changes to These Terms
We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. It is your responsibility to review these Terms for any changes. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
14. General Provisions
Entire Agreement: These Terms and our Privacy Policy are the complete and exclusive statement of the understanding between you and IntelliAssist and supersede all prior understandings and communications.
Severability: If any provision is found to be unenforceable, the remaining provisions will remain in full force.
Waiver: Our failure to enforce any right will not be considered a waiver.
